All services are tailored and may be subject to separate written agreements.
4. Engagement & Contracts
- Services may require a formal proposal, statement of work (SOW), or agreement
- Specific deliverables, timelines, and fees will be outlined in writing
- In case of conflict, the signed agreement will take precedence over these Terms
5. Fees & Payment
- Fees are agreed in advance and invoiced as per contract terms
- Payment is due within [7/14/30] days unless otherwise stated
- Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to suspend services for non-payment
6. Client Responsibilities
Clients agree to:
- Provide accurate and timely information
- Cooperate with reasonable requests
- Ensure internal approvals where required
Delays caused by the client may impact delivery timelines.
We may accept and make payments using digital assets, including but not limited to stablecoins such as USDT (Tether) and USDC (USD Coin), subject to prior agreement with the client.
Where digital assets are used:
- Payment obligations are considered fulfilled once the agreed amount has been received in full to the designated wallet address
- Clients are responsible for ensuring accuracy of wallet addresses and transaction details
- All blockchain transaction fees (“gas fees”) are the responsibility of the payer unless otherwise agreed
- Due to the nature of blockchain transactions, payments are irreversible once confirmed
- Ignition Advisory is not responsible for losses arising from incorrect wallet addresses, network selection errors, or third-party wallet/exchange failures
Valuation & Volatility
- Unless otherwise agreed, invoices will be denominated in GBP or USD
- The equivalent value in digital assets will be calculated at the time of payment using a widely recognised market rate
- Any fluctuation in value prior to payment is the responsibility of the client
Compliance
Clients are responsible for ensuring that their use of digital assets complies with all applicable laws, regulations, and tax obligations in their jurisdiction.
We reserve the right to refuse or request alternative payment methods where required for regulatory or compliance reasons.
7. Intellectual Property
7.1 Pre-Existing IP
Each party retains ownership of its pre-existing intellectual property.
7.2 Developed Work
- Upon full payment, clients are granted a licence (or ownership if agreed) to use deliverables
- Ignition Advisory retains the right to reuse non-confidential frameworks, methods, and know-how
7.3 Technology Solutions
For custom-built software, AI systems, or CRM platforms:
- Licensing, ownership, and usage rights will be defined in the project agreement
- Third-party tools or APIs remain subject to their respective licences
8. Confidentiality
Both parties agree to:
- Keep confidential information secure
- Not disclose information without consent
This obligation survives termination.
9. Data Protection
We process personal data in accordance with:
- UK GDPR
- Data Protection Act 2018
Where applicable:
- We may act as a data processor on behalf of clients
- A Data Processing Agreement (DPA) may be provided
10. Technology & AI Disclaimer
- AI and automated systems are provided on a best-effort basis
- Outputs may not always be accurate or complete
- Clients are responsible for reviewing outputs before relying on them
We do not guarantee specific outcomes from AI or automated systems.
11. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential losses
- We do not guarantee business, financial, or operational outcomes
- Our total liability is limited to the fees paid for the relevant services
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
12. Warranties & Disclaimers
- Services are provided with reasonable skill and care
- We do not guarantee uninterrupted or error-free services
- Advice is based on information available at the time
13. Third-Party Services
We may use or recommend third-party tools, platforms, or providers.
We are not responsible for:
- Their performance
- Their availability
- Any losses arising from their use
14. Termination
We may terminate or suspend services if:
- Terms are breached
- Payment obligations are not met
Either party may terminate with written notice as agreed in contracts.
15. Force Majeure
We are not liable for failure or delay due to events beyond our control, including:
- Natural disasters
- Cyber incidents
- Government actions
- Infrastructure failures
